Festivals

 

1. ACCEPTANCE OF TERMS

 

1.1 Overview

These terms and conditions (T&C) govern your use as a Festival of the WFCN websites, services, and software (collectively, the "Services"). By using or accessing any part of the Services, you agree to these terms. If you do not agree, do not use the Services.

 

1.2 Modification

WFCN reserves the right to modify these terms at its discretion. Check periodically for changes. Continued use after posting changes constitutes acceptance. If changes are unacceptable, contact the WFCN team.

 

1.3 Language

All documents, including Terms of Service and Privacy Policy, will be in English, the global medium of communication.

 

2. DESCRIPTION OF WFCN

WFCN offers a simple means for registered users (Festivals) to collect submissions and registrations, or sell merchandise to Filmmakers. Payments are facilitated through third-party payment methods like Paypal ("Facilitated Payment Modes" or "FPM"). This T&C applies to Festivals. 3. YOUR USE OF THE SERVICES

3.1 The Services

WFCN grants you a non-exclusive, non-transferable right to access and use the Services for creating and promoting events, managing submissions, and collecting fees in compliance with this T&C and applicable laws. You must not modify, reproduce, reverse engineer, rent, lease, or disrupt the Services.

 

3.2 Software

If permitted, you have a non-transferable license to use the Software for internal use in connection with the Services. The Software is subject to Singapore export controls, and you are responsible for compliance with laws and regulations.

 

4. PAYMENT

4.1 Independent Relationship of FPMs

When using an FPM, festivals and filmmakers are bound by the FPM service's terms. Festival payments are completed by the 10th of each month, with WFCN processing payments when the festival wallet balance hits $100 also upon receiving a prior request from the festival.

 

4.2 Credit Card Processing

(a) Gateway; Payment Process: WFCN collects fees on behalf of festivals, deducts applicable service fees, and passes the remainder to festivals. WFCN may withhold funds for various reasons and reserves the right to demand advances back. Fees are payable in U.S. Dollars.

(b) Refunds:

(i) Festivals communicate refund policies and issue refunds. Refunds must be consistent with this T&C. WFCN is not responsible for refunds but may force a refund for various reasons.

(ii) WFCN may issue a refund to a filmmaker upon request or for certain reasons, and the festival owes the refunded amount to WFCN.

(c) Credit Card Chargebacks:

Chargebacks initiated by filmmakers are charged back to the festival.

(d) Fees That We Charge:

Creating an account, listing an event, and accessing the Services are free. Fees apply for paid submissions or marketing services. WFCN may adjust pricing at its discretion and will notify festivals of pricing modifications.

 

4.3 Non-Exclusive Remedies

(a) Payment: If a festival fails to pay, interest will accrue, and WFCN may deduct amounts owed from the festival's outstanding balance or send an invoice. WFCN may terminate the festival's registration for non-payment.

(b) Confirmation: Festivals must unconditionally accept confirmed commitments. WFCN issues a confirmation number, and festivals are responsible for verifying submission status and event restrictions.

(c) Taxes; Withholding:

(i) Festivals are responsible for determining and remitting Taxes. WFCN may withhold payment if it suspects fraudulent activity or violation of laws. Festivals indemnify WFCN for Taxes related to their use of the Services.

(ii) Service Fees do not include Taxes, and festivals agree to pay applicable Taxes on Service Fees to WFCN.

(iii) WFCN may withhold payment if it suspects fraudulent activity or violation of laws.

 

5. YOUR REGISTRATION OBLIGATIONS

5.1 To be a registered user as a Festival, you must:

(a) Provide true, accurate, current, and complete information (Registration Data).

(b) Maintain and promptly update the Registration Data.

 

5.2 Age Requirement:

- You must be at least 18 years old, or the legal age of majority in your jurisdiction, to register for an account.

 

6. ACCOUNT, PASSWORD, AND SECURITY

6.1 During registration, you create a password and account.

- You are responsible for maintaining password confidentiality and account security.

- Notify WFCN immediately of any unauthorized use or security breaches.

- WFCN is not liable for losses due to your failure to comply.

 

6.2 Account Ownership Disputes:

- WFCN is the sole arbiter in disputes over account ownership.

- WFCN's decision, including termination or suspension, is final and binding.

 

7. CONTENT

7.1 Site Content

- All Site Content is protected by intellectual property laws.

- You agree not to reproduce, distribute, or modify Site Content without WFCN's authorization.

 

7.2 Your Content

- You grant WFCN a license to use, reproduce, and display Your Content.

- You retain ownership of your intellectual property.

- Your Content must not violate third-party rights or applicable laws.

- WFCN may remove Your Content if it violates the TOS.

 

8. CONDUCT

8.1 Certain Restrictions

- You agree not to upload or post Content that is unlawful, harmful, defamatory, or violates rights.

- Do not interfere with the Services, stalk or harass others, or violate any laws.

 

8.2 Certain Remedial Rights

- WFCN may monitor, edit, or remove Content at its discretion.

- WFCN may disclose Content for legal reasons or to protect its rights.

 

9. SUB-DOMAINS AND CUSTOM URLS

- Sub-domains and custom URLs provided by WFCN are its sole property.

- WFCN can terminate your right to use them at any time.

 

10. SPECIAL ADMONITIONS FOR INTERNATIONAL USE

- Adherence to local rules regarding online conduct and Content is required.

- The Services are subject to Singapore export controls.

 

11. INDEMNITY

- You agree to defend and indemnify WFCN against claims arising from your Content or use of the Services.

- WFCN may assume the exclusive defense of such matters.

 

12. SERVICE MODIFICATIONS/SUSPENSIONS

- WFCN may modify, suspend, or discontinue the Services at any time.

- No refund of Service Fees, except for certain circumstances.

 

13. TERMINATION

- WFCN can terminate your account for any reason without prior notice.

- Surviving provisions include limitations on liability, indemnification, and intellectual property protections.

 

14. LINKS

- WFCN is not responsible for content on linked websites.

- Use of linked websites is at your own risk.
